Terms of service

1. The service

Why Now Desk provides research briefs identifying companies with recent, publicly verifiable business events that may be relevant to a customer’s stated services. A brief may include source links, a summary of the event, a reasoned relevance assessment, a suggested decision-maker role and a suggested opening angle.

The work is research and professional judgment, not a promise that a named company will buy, reply, take a meeting, or produce any particular commercial result.

2. Orders and scope

The Proof Pilot is a one-off purchase for five opportunity briefs. The weekly Why Now Desk subscription provides the recurring scope stated at checkout or in the applicable order confirmation. The information supplied during checkout is used to define the research brief. A material change of audience, geography or service after research begins may require a new scope or delivery date.

3. Delivery

Delivery timing is confirmed after we receive a complete client brief. We may reasonably request clarification where the information supplied is insufficient to research accurately. Briefs are delivered electronically to the customer contact details supplied at checkout or otherwise agreed in writing.

4. Your responsibilities

You are responsible for reviewing each brief before contacting anyone, for complying with applicable marketing, privacy, anti-spam and professional rules, and for ensuring that any outreach is accurate and appropriate. Why Now Desk does not send customer outreach unless separately agreed in writing.

5. Fees, subscriptions and cancellation

Fees and billing frequency are displayed at checkout. Subscription cancellation requests must be sent before the next billing date to alex@whynowdesk.com; unless otherwise stated at checkout, cancellation takes effect at the end of the current paid billing period. Fees are non-refundable except where required by applicable law or expressly agreed in writing before purchase.

6. Sources and intellectual property

Customers receive the research brief for their own internal business-development use. You may use the conclusions and source links in your ordinary business work, but may not resell, publish as a competing database, or systematically reproduce the briefs. Third-party source material remains subject to the rights and terms of its respective owner.

7. Liability

To the maximum extent permitted by law, Why Now Desk is not liable for indirect, consequential, lost-profit, reputational or opportunity losses arising from use of the service or a customer’s outreach. Our total liability relating to a purchase is limited to the fees paid for the relevant service in the preceding three months.

8. Governing law and contact

These terms are governed by applicable European Union law. Where EU law does not regulate a matter, the applicable national law is determined under EU conflict-of-law rules. Any mandatory laws that apply to you remain unaffected. Questions about these terms can be sent to alex@whynowdesk.com.
